I don’t think the board is worried about the EM compensation package passing again. I think they are worried that the move of incorporation to Texas won’t pass, because it needs 50% plus 1 of all shares outstanding (not just a majority of the shares voting).

Elon will not buy back shares anytime soon because he would have to admit that Uncle Leo was correct.

And not to mention that Texas just signed a new “business court system” into law that doesn’t begin until September 2024. No case law. Tesla is walking into an unknown court system just because the Board screwed up the 2018 comp negotiations and Elon had his feelings hurt.

If the compensation vote fails, doesn’t Elon have no choice but to stick around to manage development of Optimus and other AI at Tesla? He’s at 18% ownership and won’t be close to the 25% voting power he wants. His only choice to control Tesla AI is to stay CEO
