I am thinking of buying a p85d built 3/15 which would qualify for the 5k upgrade. However being the second owner will they allow me to pay the 5k or will they make me pay 10k?

No. Tesla updated the Model S 'shop' page language. It is not based on build date. It is based upon original customer and build date. If you make a deposit, they will give it back. If they don't, come back and please say so.
